JOST Divests Hyva's Tipper Body Business in India to Belrise Industries

JOST Werke SE, a global leader in safety- and mission-critical systems for the commercial vehicle industry, has signed a business transfer agreement to sell its Indian tipper body operations to Belrise Industries Limited. The transaction, expected to close in the fourth quarter of 2026, is part of JOST's ongoing portfolio refinement following its acquisition of Hyva in February 2025.

The divested business, which generates annual revenue of EUR 30 to EUR 40 million and an EBITDA of approximately EUR 1 million, will be transferred for a purchase price of about EUR 5 million. JOST's decision to divest this unit is aimed at lowering its vertical integration and enhancing operational flexibility in India, allowing the company to concentrate on its core competencies in tipping cylinders, hydraulic components, and digital tipping systems under the Hyva brand.

Joachim Dürr, CEO of JOST Werke SE, commented: “This divestment is a further step in aligning our portfolio with our long-term strategy for profitable growth. It allows us to focus even more strongly on the core hydraulic and tipping solutions offered under the Hyva brand and to direct our R&D capabilities toward mission-critical systems.”

Belrise Industries, an Indian manufacturing and engineering company, sees this acquisition as a strategic fit. Shrikant Badve, Managing Director of Belrise Industries, stated: “We are pleased to welcome Hyva’s India Tipper Body Business into the Belrise family. The business has established a strong reputation in the Indian commercial vehicle market and represents a compelling strategic fit for Belrise, complementing our manufacturing and engineering capabilities. We are committed to investing in its future growth while ensuring seamless continuity for customers, employees, suppliers, and business partners throughout the transition, in collaboration with JOST.”

This divestment is not expected to materially impact JOST's revenue and earnings outlook for fiscal year 2026, and the company has confirmed its outlook. The closing of the transaction remains subject to customary regulatory approvals and conditions.

For JOST, this move underscores its strategic focus on high-margin, mission-critical systems and its commitment to streamlining operations. By divesting the tipper body business, JOST can allocate resources more efficiently towards innovation and growth in its core hydraulic and tipping solutions. For Belrise, the acquisition strengthens its position in the Indian commercial vehicle market, expanding its product portfolio and manufacturing capabilities.

The Indian tipper body market is a significant segment within the commercial vehicle industry, and this transaction reflects broader trends of consolidation and strategic realignment. As JOST continues to integrate Hyva and optimize its global footprint, this divestment is a clear signal of its intent to prioritize areas with the highest growth potential.
