Kontron AG, a global leader in IoT technology, announced that all conditions of the mandatory tender offer by Ennoconn Corporation have been met, including the clearance of the Foreign Direct Investment (FDI) in Germany. The settlement of the offer is expected to take place on August 20, 2026, as confirmed by Ennoconn.
According to the shareholding notification, Ennoconn will hold 48.36% of the shares in Kontron AG at the time of settlement. This stake will not grant Ennoconn a majority of voting rights, and the company has stated that it does not intend to further expand its shareholding in Kontron. This ensures that Kontron will remain an independent entity, with its existing management continuing to pursue its strategic goals.
Kontron's management is committed to maintaining its course of technological leadership and expanding its Software and Solutions segment. To this end, the company plans to deepen its cooperation with Foxconn/Ennoconn, aiming to achieve EUR 40 million in synergies in the medium term.
